4FiMD, LLC REFERRAL PROGRAM AGREEMENT

THIS REFERRAL PROGRAM AGREEMENT (the "Agreement") is entered into by and between 4FiMD, LLC ("4Fi" or the "Company"), a Wyoming limited liability company with its principal office located at 1309 Coffeen Ave, Sheridan Wyoming, 82801, and any individual or entity participating in the Referral Program ("Advocate," "Participant," "Member," or "Referrer"). By participating in the Referral Program (the "Program"), you expressly acknowledge and agree to be bound by the terms and conditions set forth herein.
1. PURPOSE OF THE REFERRAL PROGRAM
The Referral Program offered by 4FiMD, LLC has been created to reward loyal customers ("you") for recommending the Company’s products and services to others who may benefit from them ("Referrals"). This Program is designed to incentivize both you and your Referrals for engaging with 4Fi.
By participating in the Program, you agree to this Agreement, as well as the Company's Terms of Use, Privacy Policy, and any additional applicable policies. If you do not agree to these terms, you are not authorized to participate in the Program.
4Fi reserves the right to modify, suspend, or terminate the Program at its sole discretion at any time without prior notice.
2. DEFINITIONS
2.1 Advocate/Participant
Any individual or entity participating in the Program under the terms of this Agreement.
2.2 Referral
A person or entity introduced to 4Fi by the Advocate through the Program who satisfies all conditions of a Qualified Referral.
2.3 Qualified Referral
A Referral meeting all the conditions outlined in Section 3 of this Agreement, as determined by 4Fi in its sole discretion.
2.4 Reward
Compensation, monetary or otherwise, provided to the Advocate for successfully referring a Qualified Referral under the Program.
2.5 Company Marks
All trademarks, service marks, logos, branding materials, and copyrighted content owned by 4FiMD, LLC.
3. QUALIFIED REFERRALS
3.1 Definition
A Qualified Referral occurs when:
i. An Advocate shares their unique referral link through approved methods (e.g., email, social media, or other platforms authorized by 4Fi).
ii. The Referral uses the link to visit the Company’s website, follows instructions to register or purchase, and completes all required actions (e.g., signing a contract, making a purchase, or fulfilling service agreements).
iii. The Referral satisfies all additional conditions established by 4Fi, including but not limited to remaining an active customer for a specified period or fulfilling all payment obligations.
3.2 Invalid Referrals
Referrals are not eligible if:
(a) They are existing customers of 4Fi or are actively in discussions with 4Fi prior to referral.
(b) They are self-referrals or generated through fraudulent or prohibited activities.
3.3 Tracking and Limitations
4Fi will use best efforts to track Referrals via cookies or email identification for up to 180 days from the Advocate's initial referral. 4Fiis not liable for untracked Referrals due to technical issues, cookie deletion, or any circumstances beyond its reasonable control.
4. PROGRAM REWARDS

4.3 Tax Compliance
Advocates are solely responsible for reporting and paying applicable taxes on rewards. Advocates earning $600 or more annually must submit a valid IRS Form W-9 to 4Fi before additional payments will be issued.
4.4 Reward Adjustments and Forfeitures
4Fi reserves the right to adjust or withhold rewards in cases of fraud, invalid referrals, or technical errors affecting the Program. Rewards will not be issued for transactions that are canceled, refunded, or deemed invalid for any reason.
5. RESTRICTIONS ON USE AND CONDUCT
5.1 Prohibited Activities
Participants shall not:
(a) Use automated tools, bots, or scripts to generate referrals.
(b) Mislead Referrals or engage in deceptive, unethical, or unlawful behavior.
(c) Purchase products or services for personal use through their referral link.
(d) Create confusion regarding their relationship with 4Fi, including misrepresenting their role or making unauthorized representations.
5.2 Compliance with Laws
Advocates must adhere to all applicable laws, regulations, and ethical standards in connection with the Program. Failure to comply may result in disqualification from the Program and legal consequences.
5.3 Marketing Practices
Advocates agree to promote the Program professionally and ethically, without making false or misleading claims about 4Fi or its services.
6. INTELLECTUAL PROPERTY AND BRANDING
6.1 Grant of License
4FiMD, LLC grants Participants a limited, non-exclusive, non-transferable license to use Company Marks solely for the purpose of promoting the Program.
6.2 Use of Company Marks
6.3 Intellectual Property Ownership
All rights, titles, and interests in the Company Marks remain the sole property of 4FiMD, LLC. Participants acknowledge that use of Company Marks does not confer any ownership rights.
7. LIMITATION OF LIABILITY
7.1 Warranty Disclaimer
THE PROGRAM IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7.2 Liability Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 4FiMD, LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF PARTICIPATION IN THE PROGRAM, INCLUDING LOST PROFITS.
7.3 Liability Cap
THE TOTAL LIABILITY OF 4FiMD, LLC UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL REWARDS PAID TO THE ADVOCATE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
8. INDEMNIFICATION
Participants agree to indemnify, defend, and hold harmless 4FiMD, LLC, its affiliates, officers, directors, and employees from any claims, damages, or liabilities arising from:
(a) Breach of this Agreement.
(b) Misrepresentation or unauthorized communication with Referrals.
(c) Unauthorized use of Company Marks.
9. TERMINATION AND SURVIVAL
9.1 Termination by Participant
Participants may terminate their participation at any time by providing written notice to [email protected]
9.2 Termination by Company
4Fi reserves the right to terminate or suspend the Program or a Participant's involvement at its sole discretion for any reason, including but not limited to violations of this Agreement.
9.3 Survival
Provisions related to intellectual property, limitation of liability, indemnification, and governing law shall survive termination of this Agreement.
10. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of the State of Wyoming without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
